Terms of Service
Version 1.3, 27 October 2026. These terms govern the services Highland Willow provides. Where a service agreement or invoice says something different, that document wins for that engagement.
1. What we do, and what we do not
We provide the services named in your agreement and nothing else. Anything outside that list is quoted in writing before it starts and is never billed afterwards.
We do not provide investment, tax or legal advice. We report on your records; we do not keep your books. We are not your accountant and we are not your attorney.
2. What you pay, and when
Fees are due on the terms stated on your invoice. Invoices unpaid thirty days after the due date carry 1.5% monthly interest, and we may suspend service on any account more than sixty days past due. Fees may be adjusted once per renewal term on sixty days' written notice.
Every line on an invoice is one of two kinds, and the invoice says which.
A fixed fee is a price for what the line delivers. It does not change with what the work cost us, it is not reconciled against our costs, and you are not billed more if we spend more. Where a fixed-fee line states an included allowance, that allowance is a limit on your exposure, not a budget we draw down and bill you for. If the work needs more than the allowance we stop and ask you before anything further is spent. We never exceed it without your agreement in writing.
A pass-through is your money that we handle. It is billed at exactly what the supplier charged and never marked up, we take no percentage of it, receipts come with the reconciliation, and anything unspent returns to you as a credit on the following invoice. Advertising placed on your behalf is a pass-through. Where we place it on our own account, any card rewards or platform promotional credits earned on that spend accrue to us; they do not change what you pay, which is the platform's own charge and nothing else. Ask us to move that spend to your own card at any time and we will.
Ceilings on a pass-through are maximums, not minimums. You pay what was used and the difference comes back to you.
3. What we own
All tooling, software, configurations, automations, pipelines, templates, prompts, dashboards, monitoring, research methods and documentation we build or use to deliver the service remain our exclusive property, including anything created or improved during your engagement.
Nothing in these terms transfers or licenses any of it to you beyond your term, and it does not pass to you on termination. Where something we own is embedded in a deliverable you paid for, you have a perpetual, non-exclusive licence to use it in your own business.
4. What you own
Your business data, records, customer information, website content, written procedures and your own vendor and advertising accounts are yours, remain in your name, and leave with you.
5. Your data
We use your records only to deliver your service. We do not train any system on your records, your records are never shared with another client or used to answer another client's question, and they are held in a per-client store that cannot reach another client's by construction.
What we learn, as distinct from what you own
Delivering your service teaches us things that are not about you: what a workable cost per enquiry looks like in a sector, which campaign structures and creative approaches perform, which technical fixes move a ranking, how long a piece of work actually takes. We keep those learnings and we use them to improve our methods and to advise other clients, aggregated and stripped of anything that identifies you.
The limit, stated plainly, because the distinction is the whole point. A learning is a general figure with your name removed. It is never your customer list, your revenue, your margins, your supplier terms, your pricing or any record of yours, and none of those are used this way at any level of aggregation. We will not publish or quote a figure that could reasonably identify you or your business without your written approval, which section 10 also covers.
And one honest limit on our side. A benchmark drawn from a single client is not a benchmark, it is that client's number with a label on it. We do not treat your figures as a sector rate until we hold enough comparable work for the result to be genuinely general, and until then your numbers describe your business and nothing else.
If you would rather we did not keep even de-identified learnings from your engagement, tell us and we will not. It changes nothing about what you pay.
We keep it confidential, hold it under least-privilege access, and tell you within 72 hours if we suspect it has been exposed.
6. Access
You grant the access required to deliver the service, on a least-privilege basis, scoped to the work and named in writing. You will be told who holds access and told again if that changes.
7. What we promise, and what we do not
We do not guarantee rankings, revenue or any business outcome, and anyone who does is selling you something.
We guarantee process, in writing: acknowledgement inside business hours, delivery on the agreed date, a restore actually performed rather than a backup merely taken, every figure traceable to its source, and a published, dated correction whenever something we told you turns out to be wrong.
How your reports are produced, and what that means for you
Your reports and analyses are produced by automated systems, including AI, reading your live data. We tell you this plainly because it changes how you should read them.
Before anything reaches you, every figure is checked against the record it came from, and a claim that fails that check is removed rather than published. That check proves a figure came from where we say it did. It does not prove the figure means what the report says it means. Those are different things, and the second is where automated analysis fails: a number can be correctly sourced, correctly quoted, and still be the wrong number for the decision in front of you. It can also be stale, or complete for one system and silent about another.
So please read the underlying record before you act on any finding that matters. That matters most for anything involving money, a customer, a supplier, or a change that is hard to undo. Ask us and we will show you the record behind any figure, at no charge, every time. If you would rather we verify a particular finding before it reaches you, say so and we will.
What we hold ourselves to is unchanged by this. Every figure stays traceable to its source, anything we cannot stand behind is marked as such rather than rounded into something that looks confident, and if something we told you turns out to be wrong we publish a dated correction and say what changed. We do not quietly replace a number.
Services and deliverables are provided as-is beyond those commitments. Decisions you take on a report are yours, and you remain responsible for your own tax and accounting accuracy and your own regulatory compliance.
8. When something goes wrong
Automatic alerting runs continuously. A person responds during business hours, Eastern. Monitoring tells you what is wrong; shipping a fix is separate work and is quoted.
Our total liability is limited to the fees you paid us in the three months before the claim. Neither of us is liable to the other for indirect or consequential loss. Nothing here limits liability for breach of confidentiality, gross negligence or intentional misconduct.
9. Subcontractors
We may use subcontractors. They are bound by confidentiality terms no less protective than these, and we remain responsible for their work as if it were ours.
10. Reference
We may name you as a client and describe the work in general terms. Any published case study, and any use of your figures, requires your written approval first.
11. Hiring
Neither of us will directly solicit the other's staff or contractors during the term or for twelve months after it ends.
12. Term, renewal and leaving
Your agreement states its term. Retainers renew automatically unless declined on the notice stated there.
When you leave: your site, files, content, written procedures and data are exported to you in open formats within fifteen business days, access is transferred, and any unused prepaid amount is refunded in the same window. There is no exit fee and no penalty clause.
13. Changes to these terms
We may update these terms on sixty days' written notice. If you do not accept a change, you may decline renewal without penalty. We will not apply a changed term to work already paid for.
14. Law
North Carolina law governs. We will try to resolve any disagreement by talking first, in good faith, within thirty days, before anything formal.
How we price. Prices are for outcomes, not a pass-through of our costs. We do not bill by the hour and we do not ask you to track ours.
When we are not sure, we say so. A figure we cannot stand behind is marked as such rather than rounded into something that looks confident.
